Terms of Service

1. Use of Service

1.1 Eligibility

You must be at least 13 years old to use Spend Sense. If you are between 13 and 17 years old, you confirm that your parent or legal guardian has given you permission to use the Service.

By using the Service, you agree to these Terms. If you are under 18 years of age, you and your parent or legal guardian enter into these Terms together, with your parent or guardian agreeing to these Terms on your behalf.

1.2 App account and waitlist registration

Using the Spend Sense app requires creating a free email and password account in the app. This account does not connect to your bank. Today, app account data (including that email/password login) is stored fully on your device using encrypted local storage. There is no hosted account component in production. A hosted backend is actively in development; there is no committed launch date. When it ships, these Terms and our Privacy Policy will be updated to describe it.

Separately, if you join our email waitlist on the Spend Sense website, you provide only your email address. We use this email solely to:

  • Notify you when the app launches or major updates ship.
  • Optionally invite you to private beta programs or surveys.

You may unsubscribe at any time by using the link in any email or by contacting us directly. We do not use waitlist addresses for third-party advertising, and we do not sell or share them with data brokers.

1.3 Features of the Service

Depending on the product surface you use, Spend Sense may include:

  • iOS app (live today): budgeting; expense splitting and Squads (including optional Venmo / Cash App deep-link settle-up); vacation tracking; savings goals; and spending analytics.
  • Website (live today): marketing and waitlist pages; free financial calculators; an educational credit score simulator; and a free bill splitter at /split.
  • Not yet live: receipt scanning as a product feature; bank account linking; iCloud encrypted backup; a hosted backend for app accounts; and Stripe-based split payment processing. Those items, if mentioned elsewhere on the site, are future features and are not part of the Service today.

1.4 Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Interfere with or disrupt the Service or servers.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Transmit any viruses, malware, or harmful code.
  • Violate any third-party rights, including intellectual property rights.

2. Privacy and data protection

Spend Sense prioritizes the security of your financial data and does not sell it to advertisers or data brokers. App account and financial data you enter in the app are stored on your device today. No security practice is perfect — no system is 100% secure — and you should take care to protect access to your device.

You retain ownership of the data you create in the app and can request deletion of information we process.

Our separate Privacy Policy explains what limited information the website processes, how on-device app storage works today, how splitting and settle-up features handle information, and how we expect that to change when a hosted backend ships.

3. Intellectual property

3.1 Our rights

The Service, including its original content, features, functionality, and design, is owned by Spend Sense LLC and is protected by intellectual property laws worldwide.

3.2 Your rights

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

3.3 Trademarks

"Spend Sense," the Spend Sense logo, and other marks are trademarks of Spend Sense LLC. You may not use these marks without our prior written permission.

4. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" and "as available" without warranties of any kind.
  • We do not warrant that the Service will be uninterrupted, secure, or error-free.
  • We are not responsible for errors in financial calculations or data entry.
  • We are not liable for any indirect, incidental, special, or consequential damages.
  • Our total liability is capped at the greater of USD $100 or the fees you paid us in the previous 12 months.

Spend Sense is a tool to help you track and understand your finances. You remain solely responsible for your financial decisions and outcomes. Always verify important information independently.

5. No financial, tax, or legal advice; tool accuracy

Spend Sense does not provide financial, investment, tax, credit, or legal advice. Any insights, charts, estimates, simulations, or suggestions generated by the app or website are for informational and educational purposes only. You should consult qualified professionals before making financial, investment, tax, credit, or legal decisions based on information surfaced in the Service.

5.1 Free financial calculators

Our free website calculators (including tools such as take-home pay, self-employment tax, and capital gains estimates) produce estimates only. This estimate is for informational purposes only and is not tax or financial advice. Consult a CPA or tax professional for your specific situation.

5.2 Credit score simulator

This is an educational simulation of how credit factors tend to interact — not a FICO® or VantageScore® calculation, not a real credit score, and not credit or lending advice. We never predict a specific score number. Results are illustrative bands only, using the Poor / Fair / Good / Very Good / Exceptional ranges commonly published for consumer education. Your actual scores come from models we do not implement. For personalized guidance, talk with a nonprofit credit counselor (for example via nfcc.org) or a licensed professional.

5.3 Bill splitting and settle-up

Results and payment requests from expense splitting — including in-app Squads, the free /split website tool, and Venmo / Cash App deep-link settle-up in the iOS app — are based on information you enter. They are not independently verified by Spend Sense. You are responsible for confirming accuracy, including the amount and recipient, before relying on those results for any actual payment. Always verify the amount shown before you complete a payment through a deep-link settle-up flow.

Stripe-based direct payment processing for splits is not part of the Service today. If we offer it later, these Terms will be updated.

6. Termination

6.1 By you

You may stop using the Service at any time. While app account data remains on-device, deleting the app (and any local app data) removes that information from your device. Website waitlist and other information we process is handled under our Privacy Policy. When a hosted backend ships, we will update this section with the deletion process for hosted accounts.

6.2 By us

We may suspend or terminate your access to the Service if you materially breach these Terms, misuse our services, or engage in conduct that we reasonably determine is harmful to other users or our business.

7. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (for example, via the website or in-app messaging).

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

8. Indemnification

You agree to indemnify, defend, and hold harmless Spend Sense LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any financial decisions made based on information surfaced in the Service.

9. Severability and waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions.

10. Governing law and disputes

10.1 Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any claim not subject to arbitration (as described below) shall be brought exclusively in the state or federal courts located in Cook County, Illinois.

10.2 Binding arbitration and class action waiver

Except for claims that may be brought in small claims court or certain intellectual property disputes, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The seat of arbitration will be Cook County, Illinois.

  • Small claims exception. Either party may bring an individual claim in small claims court for disputes under USD $5,000.
  • IP exception. Claims involving misuse of intellectual property rights (for example, trademarks or copyrights) may be brought in court rather than arbitration.
  • Class action waiver. You agree that disputes will be resolved on an individual basis and that you will not participate in any class, collective, or representative action against us.

Arbitration opt-out

You may opt out of this arbitration agreement within 30 days of first using the Service by emailing legal@spendsenseapp.io with the subject line "Arbitration Opt-Out" and a statement that you wish to opt out. Opting out will not affect your other rights or obligations under these Terms.
